Terms of Use

These terms apply when you use Nekonote (the "App") and its Pro plan. By using the App, you agree to these terms. This English version is a translation; if it differs from the Japanese version, the Japanese version prevails.

1. Operator

The App is made and distributed by LibeTech (the "Operator"). See "Contact" at the end.

2. Permitted use

  • You may use the App for personal or work purposes
  • You may not redistribute a modified or decompiled App, impersonate the Operator, or use the App in a way that breaks the law or infringes others' rights

3. Free and Pro

  • Free costs nothing. Agent teams are limited to one top-level team with up to 3 cats, and sub-teams are not available
  • Pro is a paid subscription that removes the team limits and lets you use sub-teams
  • Pro costs $8 a month or $79 a year. During the beta, every feature is free
  • The features in Pro may change with notice

4. Payment and seller

  • The seller (Merchant of Record) of Pro is Polar Software, Inc. ("Polar"). Polar handles payment, billing, taxes and refunds, and Polar's terms (https://polar.sh/legal/terms) also apply
  • Polar holds your payment details; the Operator does not

5. Trial and cancellation

  • Both the monthly and the yearly plan come with a one-month free trial. A card is required to start it
  • After the trial, the subscription renews and is charged each period until you cancel
  • You can cancel at any time from Polar's customer portal. After you cancel, Pro stays on until the end of the period you paid for (or of the trial, if you cancel during it)
  • When the period ends, you return to Free. Teams you made keep running and can still be edited; only actions that add past the Free limits (adding a team, a fourth cat or a sub-team) are refused

6. License key

  • When you buy Pro, you receive a license key. The key is yours; you may not give it to others or publish it
  • One key can be activated on up to 3 Macs
  • The App checks with Polar that the key is valid at launch and every 24 hours. Without a connection, Pro stays on for 14 days after the last successful check
  • If you lose your key, you can find it from the purchase management link in the email from Polar

7. Refunds

  • Because a free trial is offered, payments are generally not refunded
  • If the cause is on our side, such as a double charge or Pro not working due to the Operator's fault, or where the law requires a refund, we refund through Polar. Please contact us

8. AI agents

  • The App is a tool that lets you oversee the AI coding agents you run (such as Claude Code and Codex) and relays your interaction with them
  • Agents may run commands and change files on your Mac. You decide what they are allowed to do. The Operator is not responsible for what agents do or for its results (changed files, lost data, and so on)
  • Your use of each agent is subject to its provider's terms and fees

9. Disclaimer

  • The App is provided as is. We do not promise it is free of bugs or fit for a particular purpose
  • The Operator is not liable for damages arising from your use of the App, except in cases of the Operator's intent or gross negligence. Where the Operator is liable, liability is limited to the Pro fees you paid for the month in which the cause arose
  • We may stop or change the App with notice

10. Changes to these terms

We may change these terms. We announce important changes on the site or in the release notes. Using the App after a change means you agree to the changed terms.

11. Governing law and court

These terms are governed by the laws of Japan. The district court with jurisdiction over the Operator's address has exclusive jurisdiction as the court of first instance.
